We will need certain entity documentation described above because we need to verify who may sign for the Entity and procedures to authorize signatory. Closing Documents may only be signed by an authorized individual reflected in the entity documents and/or filed with the State of Organization or Incorporation. If there are no entity documents, such as an Operating Agreement (LLC), Shareholder Agreement (Corp) or Trust Agreement (Trust), please advise, as further information and requirements may be necessary.
To safeguard the transmittal of non-public personal information concerning this transaction, you may receive certain emails from our office that have been encrypted. The message will be identified as Microsoft Office 365 and will indicate that Market Title has sent you a protected message.
The undersigned acknowledges that neither Market Title LLC, Sherri R. Heller, P.A. nor Sherri R. Heller, Esq. have been retained to represent the undersigned in any manner whatsoever with respect to the subject closing. Market Title LLC is solely acting as settlement agent with respect to the closing. The undersigned has had the opportunity to retain its own counsel and is not relying on Market Title LLC, Sherri R. Heller, P.A. nor Sherri R. Heller, Esq. for any legal counsel or advice and holds Market Title LLC, Sherri R. Heller, P.A. and Sherri R. Heller, Esq. harmless from any and all claims whatsoever with respect to same.
Net proceeds from the Sale will be paid by Escrow Check or Wire Transfer. If Net Proceeds from the sale are paid by Wire Transfer, the net proceeds will only be paid to a United States Bank Account in the name of the Seller. If SELLER IS AN LLC, CORPORATION OR TRUST, the account name must be in the Entity name. If you do not have a United States bank account in the name of the Seller, please make all advance preparations to open such an account or an Escrow Check will be issued at closing.
Hackers have been known to send emails appearing to be your agent, your processor or another trusted source and are also capable of intercepting and changing your wire instructions. NO WIRE INSTRUCTIONS SHOULD BE SENT TO MARKET TITLE WITHOUT CALLING OUR OFFICE FIRST AT 305-405-0305. MARKET TITLE WILL NEVER VERIFY WIRE INSTRUCTIONS BY EMAIL. MARKET TITLE WILL NOT INITIATE ANY WIRE TO YOU UNTIL WE HAVE VERIFIED YOUR WIRE INSTRUCTIONS. YOU WILL NEED TO MAKE SURE WE HAVE YOUR PHONE NUMBER FOR VERIFICATION. DUE TO THE INCREASE IN WIRE FRAUD, SELLER AUTHORIZES PCN NETWORK/SAFE ESCROW, WHICH IS MARKET TITLE LLC'S DISBURSING AGENT TO CONTACT SELLER OR SELLER'S BANK TO VERIFY SELLER'S ACCOUNT INFORMATION IN ORDER TO INITIATE THE WIRE FOR NET PROCEEDS.
The undersigned authorizes Seller's wireless operator to disclose mobile number, name, address, email, network status, customer type, customer role, billing type, mobile device identifiers (IMSI and IMEI) and other subscriber details, if available, to PCN Network, LLC and service providers for the duration of the business relationship, solely for identity verification and fraud avoidance. The seller releases, indemnifies, agrees to defend and holds Market Title LLC, harmless from and against any and all liability, claims, losses, of any kind or nature, including attorneys’ fees and costs, brought by Seller, or any other person or entity whatsoever, arising from or related to disbursement of the Seller's net proceeds according to the written instructions provided by Seller.
Seller confirms receipt and acknowledgement of Market Title LLC’s Privacy Policy, Price List AND Utility Account Requirements.
Section 1445 of the Internal Revenue Code and Income Tax Regulations provides that a transferee (“Buyer”) of a U.S. real property interest must withhold tax on the amount realized on the disposition if the transferor (“Seller”) is a foreign person, foreign corporation, foreign partnership, foreign trust or foreign estate. A Closing Service fee of 175.00 will apply for 8288B filings or a 125.00 for 8288A filings.
