We will need certain entity documentation described above because we need to verify who may sign for the Entity and procedures to authorize signatory. Closing Documents may only be signed by an authorized individual reflected in the entity documents and/or filed with the State of Organization or Incorporation. If there are no entity documents, such as an Operating Agreement (LLC), Shareholder Agreement (Corp) or Trust Agreement (Trust), please advise, as further information and requirements may be necessary.

The undersigned acknowledges that neither Market Title LLC, Sherri R. Heller, P.A. nor Sherri R. Heller, Esq. have been retained to represent the undersigned in any manner whatsoever with respect to the subject closing. Market Title LLC is solely acting as settlement/title agent with respect to the closing. The undersigned has had the opportunity to retain its own counsel and is not relying on Market Title LLC, Sherri R. Heller, P.A. nor Sherri R. Heller, Esq. for any legal counsel or advice and holds Market Title LLC, Sherri R. Heller, P.A. and Sherri R. Heller, Esq. harmless from any and all claims whatsoever with respect to same.

Buyer confirms receipt and acknowledgement of Market Title LLC’s Privacy Policy, Price List AND Utility Account Requirements.
Market Title may be required by Federal law under Financial Crimes Enforcement Network (FINCEN) Geographic Targeting Order (GTO) to collect certain additional information from you regarding your purchase of real property. United States Code Title 31 Section 5326 authorized the U.S. Department of Treasury to collect information about certain transactions in specified geographic areas in order to carry out the purposes or prevent evasion of the Bank Secrecy Act. We will request this information, if applicable in a separate email and this Company will rely on the answers provided to meet its reporting obligations. The questionnaire requires the name of EACH BENEFICIAL OWNER who directly or indirectly owns 25% or more of the equity interests of the Purchaser. If a legal entity or a series of legal entities is the beneficial owner of the Purchaser, you will need to provide information for the ultimate beneficial owner of all the legal entities. We will need a legible copy of government photo identification for each such individual (ie. Passport, driver’s license, etc.)
